THE CHARTER
of the Foundation for Supporting Physically Disabled Mathematicians and
Computer Scientists - Warsaw
§1
The Foundation is set up by the Founders, who have signed the Act .
The Foundation acts according to the Statute about Foundatins, dated 6th of April 1984
(Dz.U . nr 21 poz. 97) and this Charter .
§2
The Foundation acts under the above mentioned . Hereinafter it is referred to as
"The Foundation".
§3
1.The Foundation carries out its function on the territory of the Republic of Poland .
The Foundation is also empowered to act outside this territory .
2. The Foundation is locadet in Warsaw, the capital of the Republic of Poland .
3. There is no time limit placed on the Foundation's existence .
4. The Foundatoin is under the control of the Minister of Employment and Social
Policies (Minister Pracy i Polityki Socjalnej ).
5. Chairman of the Board or other persons acting on the Board's authorization are
empowered to make declarations of will on the Foundation's behalf.
§4
1.The Foundation's aim is to aid mathematicians and computer specialists with impaired
mobility, who live, work, or study in the province governed by the Voivodeship of Warsaw.
The Foundation also aims to increase employment among the disabled through computer
work . The terms "matehematicians" and "computer specialists", for the
purpose of this Charter, apply to persons with either secondary or higher education in
mathematics and computer science, students of those subjects, and persons undergoing
training or working in one of those . The latter do not have to have formal education in
computer science or mathematics .
2. The Foundation will achieve this aim through:
- help with professional activitiew (particularly with computer programming and
wordprocessing on personal computers);
- aid with obtaining and renovating rehbilitation equipment;
- financial, social and legal assistance.

The Foundation is set up as follows:
- the Foundation's Council;
- the Foundation's Board;
- the Committee of the Foundation Members.
§6
1. The Council has seven to eleven members, who are elected for a period of two years
at a General Meeting of the Founders.
Initially the Council will consist of members appointed by the Founders at the Founders
Meeting.
2. Acting on behalf of the Founders, the Council is in charge of the Foundation's
activities, in particular:
a) it assesses the Board's plans for the future;
b) it assesses the Board's annual reports;
c) it approves the Foundation's accounts, presented by the Board;
d) it appoints and recalls the Board and the Committee of the Foundation Members;
e) it establishes the rules governing economic activities of the Foundation;
f) it establishes the rules governing activities of the Committee of the Foundation
Members.
3. The Council's decisions are reached through a majority of at least 2/3 of members
votes, with no less than half the Council's members present.
4. The Foundation's Board calls the Council's meeting at least once a year. The
Council's meeting can also be called at the request of at least three members of the
Council, the Board or the Committee of the Foundation Members.
The Board must inform all the Council's members about the date of a meeting and its
order at least two weeks in advance.
§7
1.The Board consists of five to seven members and is appointed by the Foundation's
Council, for a period of two years. Among its members it chooses the President and two
Vice-presidents.
2. The Council may recall the Board before the end of its term of office.
3. The Board performs the following functions:
a) it representes the Foundation in Poland and abroad;
b) it carries out its statutory duties;
c) it calls the annual meeting of the Council, to present the annual report and the
Foundation's accounts.
d) it initiates and maintais contacts with mathematicians and computer specialists, as
well as potential contributors and employers.
§8
1. The Committee of the Foundation Members consists of three to five people.
2. The Committee's work is headed by the Committee's Leader.
3. The Committee has the following tasks:
a) it must keep the register of allof the Foundation members;
b) it approves new people who are to be added to the register;
c) it assesses the needsof the Foundation members;
d) on behalf of those people it applies to the Board for money from the Foundation's
fund;
e) itgives its opinion of the Board's decisions on the distribution of funds to the
Foundation members, and it has the right of veto. In case of any disagreement between the
Board and the Committee, the Foundtion's Council has the decisive voice.
§9
1. The Foundation owns the following property and other possessions:
a) the inital fund, set up from the contributions of the Founders, which amounts to
9.040.000 zloty (say nine million forty thousand zloty);
b) other financial means, equipment (rehabilitation equipment and computers in
particular), real estate, ownership rigts and copyrights acquired by the Foundation during
its existence.
2. The main sources of the Foundation's funds consist of :
- donations, bequests, legacies and endowments from institutions and private individuals;
- income from real estate and other possessions, including copyrights and bank interest on
the Foundation's investments;
- economic activties, described below in §10;
- other sources.
3. Income derived from donations, bequests, legacies and endowments may be used to fund
any of the Foundation's activities, unless otherwise specified by the donors.
§10
1. The fulfil its aims, the Foundation engages in various enterprises, according to the
rules set out in the Cabinet Act, dated 2nd of December 1985, which regulates economic
activities of foundations (Dz.U. nr 57 poz.294,1985,with the amendments of 1989, which
have rendered clauses 5 and 6 null and void).
2. The Foundation's economic activities will mainly concentrate on editing, publishing,
practical applications of computer science, research and educational projects.
3. The rules governing allocation of funds to various areas of the Foundation's
economic activity are set out for a period of one financial year by theFoundation's
Council.
4. Two persons are needed to sign contracts and represent the Foundation in its
enterprises. They will be chosen out of the following three: two members of the Board who
are responsible for economic activities and the Board's president.
§11
The Foundation may set up new branches and join other foundations or companies,
according to the decisions of theFoundation's Council.
§12
1.The Foundation may only be dissolved through a vote at a General Meeting of the
Founders, by a 2/3 majority and with at least half of the members present.
2. Following the dissolution of the Foundation, the way that the remaining funds will
be distributed will be decided at a General Meeting of the Founders. The remaining funds
may only be used for the benefit of the Foundation members.
§13
Any amendments to this Charter may only be made at General Meeting of the Founders,
with at least half of the Founders present, and according to the rules governing
foundations.
